At an EGM of the
unincorporated CIOS (Jersey) held on 14 April 2010 at Société
Jersiaise, Members room, 7 Pier Road it was resolved to amend
the rules of the Society and form a Company Limited by Guarantee
to undertake all the activities of the unincorporated CIOS
association except membership which remains the sole activity of
the unincorporated Association known as the Channel Islands
Occupation Society (Jersey).
The Company
is a guarantee company with the maximum liability of its members
limited to £1.00.
Committee
and Directors: All the members of the General Committee have become
the Guarantee members and directors of the Company.
At AGMs of the CIOS association, the association members
will elect officers. These are specifically: one
president, two vice presidents, a treasurer, secretary, social
secretary, archivist, publicity officer, editor, one
fortifications-sub-committee chairman and three committee
members. When elected those will become eligible to become
members and directors of the Company. These persons will be
elected of course for one year only. Our Association members
thus elect each year the directors who will control and run the
Company. For practical reasons, the quorum for
meetings of the directors of the Company is two.
Activities:
the former unincorporated CIOS has continued except that all its activities save only for
membership and the collection of annual subscriptions are
undertaken by the Company. Our members will continue to pay the
CIOS Association their subs and those funds will then be donated
each year to finance the activities of the Company. Bunker
openings, publications and all other work are done only on
behalf of the Company rather than the Association.
Fortifications Sub-Committee:
This sub-committee has remained and is chaired by the
fortifications sub committee chairman but the sub committee
members are not Directors of the Company unless they happen to
be those directors already elected at the AGM.

The CIOS (Jersey) Limited was incorporated on 11 June 2010 and
